Terms of Service

These Terms of Service ("Terms") govern your use of COD Studio (the "Service") operated at https://codstudio.shop. By creating an account, accessing the dashboard, or otherwise using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and authorized to enter contracts on behalf of any business you represent. The Service is intended for legitimate e-commerce merchants, and may not be used for any unlawful purpose.

2. Your account

• You are responsible for the accuracy of information you provide and for maintaining the confidentiality of your login credentials.
• You may not share account access with anyone outside your team. Team members must be invited through the official invitation flow.
• You must promptly notify us at contact@codstudio.shop if you suspect unauthorized access.

3. Acceptable use

You agree NOT to use the Service to:

• Sell or promote illegal products, regulated goods without proper authorization, counterfeits, or content prohibited by Meta / TikTok / Snap policies.
• Send spam, harassing, or otherwise unsolicited messages to end-customers via WhatsApp, email, or voice channels.
• Collect or process personal data of end-customers in violation of any applicable privacy law.
• Reverse-engineer, decompile, or attempt to extract source code from the Service.
• Bypass rate limits, anti-fraud controls, or security measures.
• Interfere with the Service's operation or other users' use of the Service.

Violations may result in immediate suspension or termination of your account, at our discretion, without refund of any prepaid fees.

4. Third-party integrations

The Service connects to third-party platforms (Meta, TikTok, Snap, Stripe, WhatsApp via 360messenger, courier APIs, etc.) at your request. Your use of those platforms is subject to their own terms and policies. We are not responsible for outages, policy changes, account suspensions, or pricing changes imposed by those third parties.

You represent that you have the authority to grant the access (OAuth tokens, API keys) that you provide to the Service, and that doing so does not violate any third-party agreement you are bound by.

5. Your content

You retain ownership of all content you upload, generate, or publish through the Service (product images, landing-page copy, customer data, etc.). You grant us a non-exclusive, royalty-free license to host, transmit, and display that content solely as necessary to provide the Service.

AI-generated copy and images produced through the Service's builder are licensed to you to use freely. We make no warranty that AI-generated content is free from third-party claims; you are responsible for reviewing it before publishing.

6. Pricing and billing

Pricing tiers, included usage, and overage rates are published on the pricing page (when available). Paid plans are billed in advance and are non-refundable except where required by law. We reserve the right to change pricing on 30 days' notice for new billing periods.

7. Termination

• You may close your account at any time from the dashboard or by emailing contact@codstudio.shop.
• We may suspend or terminate your account for material breach of these Terms with notice (immediate for severe abuse).
• On termination, we will retain account data for 30 days to allow for export, after which it is permanently deleted (see Privacy Policy).

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE AGAINST ALL THREATS.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT, OR (B) USD 100. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR LOST-PROFIT DAMAGES.

10. Indemnification

You agree to defend, indemnify, and hold us harmless from any claims, losses, or damages arising from (a) your breach of these Terms, (b) content you upload or publish, (c) your violation of any applicable law or third-party right, or (d) your use of any third-party integration through the Service.

11. Changes to the Service / Terms

We may modify or discontinue any feature at any time. We will notify you of material changes to the Terms by email and post the revised version here with an updated date. Continued use after the effective date constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the Sultanate of Oman, without regard to conflict-of-law rules. Disputes will be resolved in the competent courts of Muscat.
